1. Definitions

In these Terms and Conditions, the following terms have the meanings given below:

• "Khon Weave" / "we" / "us" — refers to Khon Weave, a business consulting firm with its principal office at 91 Asoke-Din Daeng Road, Makkasan, Bangkok 10400, Thailand.
• "Website" — refers to the website located at khon-weave.live and any related subdomains or pages.
• "Client" / "you" — refers to any individual or organisation that engages Khon Weave for services or uses the Website.
• "Engagement Letter" — refers to a written agreement (or email confirmation) that sets out the scope, timelines, fees, and specific terms of a consulting engagement.
• "Services" — refers to the consulting and advisory services offered by Khon Weave, including those described on this Website.
• "Deliverables" — refers to reports, documents, maps, roadmaps, frameworks, and other outputs produced by Khon Weave in connection with an engagement.

2. Website Use

By accessing and using this Website, you agree to comply with these Terms. The Website is provided for informational purposes and to facilitate contact with Khon Weave.

You agree not to use the Website in any way that is unlawful, harmful, disruptive, or inconsistent with these Terms. In particular, you must not:

• Attempt to gain unauthorised access to any part of the Website or its underlying systems.
• Transmit any unsolicited commercial communications via the Website.
• Use automated means to scrape, extract, or index content from this Website without our written permission.
• Submit false, misleading, or fraudulent information through any form on the Website.

3. Consulting Services

All consulting engagements are governed by a separate Engagement Letter agreed in writing between Khon Weave and the Client. Where any term in an Engagement Letter conflicts with these Terms, the Engagement Letter shall take precedence in relation to that engagement.

Information published on this Website regarding services, pricing, and timelines is indicative and subject to change. The binding scope and fee for any engagement are those set out in the Engagement Letter.

Khon Weave will perform the Services with reasonable skill, care, and diligence. We will use our professional judgement in developing observations and recommendations. The nature of consulting advice means that outcomes are informed by the quality and completeness of information provided by the Client. Khon Weave is not responsible for decisions made by the Client on the basis of our work.

The Client agrees to provide reasonable access to relevant information, documents, and personnel as necessary for the performance of the Services, and to notify Khon Weave promptly of any material changes that may affect the engagement.

4. Fees and Payment

Fees for Services are set out in the Engagement Letter and are denominated in Thai Baht (฿) unless otherwise agreed. Prices displayed on this Website are indicative and may vary based on scope, complexity, or Client requirements.

Unless the Engagement Letter states otherwise, payment terms are as follows:

• 50% of the total fee is due upon signing of the Engagement Letter.
• The remaining 50% is due upon delivery of the final Deliverables.

Invoices are payable within 14 days of the invoice date unless otherwise specified. Late payments may incur a reasonable administrative fee.

All fees are exclusive of applicable taxes unless stated otherwise. Where VAT or other applicable taxes apply, these will be itemised on the invoice.

5. Intellectual Property

All content on this Website — including text, graphics, design, and code — is the property of Khon Weave or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or otherwise use Website content for commercial purposes without our prior written consent.

With respect to Deliverables produced during an engagement: upon full payment of the agreed fees, the Client is granted a non-exclusive, perpetual licence to use the Deliverables for their own internal business purposes.

Khon Weave retains ownership of all methodologies, frameworks, tools, and background knowledge applied in the performance of Services. Nothing in these Terms transfers ownership of such pre-existing intellectual property to the Client.

6. Confidentiality

Both parties acknowledge that information shared in the course of an engagement may be confidential in nature. Each party agrees to hold the other's confidential information in strict confidence, not to disclose it to third parties without prior written consent, and to use it only for the purposes of the engagement.

Confidential information does not include information that: (a) is or becomes publicly known through no breach of this obligation; (b) was already known to the receiving party prior to disclosure; (c) is received from a third party without restriction; or (d) must be disclosed by law or regulatory requirement.

Khon Weave may, with the Client's prior consent, reference the engagement in anonymised case studies for promotional or educational purposes. We will never disclose the Client's identity or confidential business information without explicit permission.

7. Limitation of Liability

The Website and its content are provided on an "as is" basis. Khon Weave makes no warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of information on this Website.

To the extent permitted by applicable law, Khon Weave's total liability to the Client in connection with any engagement shall not exceed the total fees paid by the Client for that engagement.

Khon Weave shall not be liable for any indirect, consequential, special, or punitive damages arising out of or related to the Services or the Website, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits liability for fraud, personal injury caused by negligence, or any other liability that cannot be excluded by law.

8. Termination

Either party may terminate a consulting engagement by providing written notice to the other party. The Engagement Letter will specify any applicable notice periods and conditions.

In the event of early termination by the Client, fees payable for work completed up to the date of termination will remain due. Any advance payments made will be applied against these fees, with any remainder refunded to the Client.

In the event of early termination by Khon Weave (other than due to Client breach), we will refund any advance payments on a pro-rata basis for the uncompleted portion of the engagement.

9. Disputes and Governing Law

These Terms, and any engagement governed by them, are subject to the laws of Thailand. Any disputes arising shall be resolved first through good-faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, it shall be referred to the courts of Bangkok, Thailand, which shall have exclusive jurisdiction, unless otherwise agreed in writing by both parties.

10. General Provisions

Entire Agreement. These Terms, together with any Engagement Letter, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior representations or understandings.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Failure by either party to enforce any right under these Terms does not constitute a waiver of that right.

Assignment. Neither party may assign its rights or obligations under an engagement without the prior written consent of the other, except in connection with a merger, acquisition, or corporate restructuring.

Updates. We may update these Terms from time to time. The current version is always published on this page. Continued use of the Website after changes are posted constitutes acceptance of the updated Terms.
